Job Scope
Advising legal affairs in multiple business disciplines such as seawater desalination, water treatment,
real estate, leasing, financing, infrastructure and so on.
职位描述：
1、决策性事务 Decisive affairs
参与公司重大经营决策，对公司重大经营决策提出法律意见，并对相关法律风险提出防范意见。
Participate in major business decision-making, put forward the legal advice on the company's major
business decisions, and advice on preventive measures against legal risk.
2、规范性事务 Regulatory affairs
a)以解决管理流程中的法律问题为楔入点，提供企业管理中的法律问题解决方案。
provide solution for related legal problems in enterprise management
b)参与公司重要规章制度的制定和实施，对公司各部门制定的规章制度提出修订意见；
participate in the formulation of important rules and regulations of each dept and provide related
support
c)根据公司需要修改公司章程；
Update and revise the company's articles of association whenever necessary
3、公司业务法律支持
a)起草、管理、审查公司合同，参加重大合同的谈判工作；
Draft, review and revise contracts, assist in commercial negotiation and identify and handle legal
risks, for all China business areas/units
b)参与公司的重大经济活动，处理相关法律事务；
Assist in the legal aspect of M&A projects
c)法律调查。根据公司业务需要，开展资信调查、员工背景调查、尽职调查、
侵权调查等；
Legal investigation based on business requirement including but not limited to credit check, background
check, due diligence and infringement.
d)提供与工商登记以及商标、专利、商业秘密保护、公证、鉴证等有关有关的法律咨询。
Assist in case of anti-trust, anti-corruption, IPR protection and any other emergent cases.
4、受公司委托，参加公司的诉讼、非诉讼等活动。
Handle litigation labour dispute on behalf of company
5、工作时间内随时接受各部门的法律咨询，及时给予答复，并配合各部门开展工作
Provide legal counsel for internal department on daily affairs
6、对公司分立、合并、解散、增减资本、重大投资与融资等重大事项，出具法
律意见书，分析相关的法律风险，明确法律责任。
Regarding company’s division, merger, dissolution, significant increase or decrease in capital,
investment and financing and other major events, issue Legal Opinion, analyze the relevant legal
risks.
